You are absolutely right that the government should not run business for companies. That is why Congress started out with trying to ban the bonus or force receivers to return them, but ended up with taxing the bonuses to receivers over certain thresholds. The former is a way to run AIG, but the latter is just like any other ways how government policy influences businesses.
Maybe the law is bad for business (maybe not, for it targets those failed ones only), but it does not run business for companies. If companies want to challenge it, what is the ground? Even if cases go to court, the government still can argue that it has the right to do so because it has 80% stake in AIG, which makes it a business owner (communism, hua).
IMHO, the cause of the whole mess is that the government used 胡罗卜 too much with little 大棒 over the past 10-15 years. It is time to have some regulations now. Of course, heavy regulations may kill businesses, but punishing those failed oones won't hurt .
