Corporate takeovers might produce some synergies. Of course, it includes financial synergies.
Many takeover that fail to make value because managers cannot handle the complex task of integrating two firms with different production process, accounting methods and corporate culture. The main obstacles include staff defections, company integration and the domestic and international regulatory maze.
Therefore, the integration situation is the key point. He should know what is value! It doesn't merely mean create current asset. It also includes other factors such as intangible asset increasing, cost saving caused by efficiency increasing etc.
