April 1 (Bloomberg) -- Hong Kong’s stock market regulator
asked a local court to block the HK$15.93 billion ($2.05 billion)
plan by PCCW Ltd. Chairman Richard Li to buy out the city’s
biggest phone company.
The Securities and Futures Commission’s objection is
unsupportable and misconceived, Michael Todd, PCCW’s lawyer, told
the High Court today.
The SFC seized voting records from a Feb. 4 PCCW shareholder
ballot and started investigating allegations some investors were
given stock to support the buyout plan led by Li, son of Hong
Kong’s richest man. PCCW has fallen 12 percent below the HK$4.50
a share offer price since the probe on concern the bid won’t win
clearance from the High Court.
If the court rejects the takeover proposal, “it would be
the first to have fallen through because of a regulatory
intervention,” Jamie Allen, secretary-general at the Asian
Corporate Governance Association in Hong Kong, said before the
court hearing.
PCCW shares, suspended today pending the outcome of the
court hearing, rose 1.3 percent to HK$3.98 in Hong Kong trading
yesterday. The stock fell to HK$3.63 on Feb. 27, even as
shareholders approved the takeover bid at the Feb. 4 meeting.
