Unocal urged to consider higher bid

NEW YORK (Reuters) - A shareholder in oil and gas producer Unocal Corp. (NYSE:UCL - News) urged on Sunday the company's board to consider a higher takeover offer from China's CNOOC Ltd. (HKSE:0883.HK - News) than one it backed from Chevron Corp. (NYSE:CVX - News).
Peter Schoenfeld, chief executive of P. Schoenfeld Asset Management which holds over 1 million Unocal shares, said the company would be liable to stockholders for any lost premium on the deal if it refused to seek a higher offer.
Schoenfeld released a copy of a July 20 letter sent to Unocal's board in which he estimated shareholder damages would be "at least several billion dollars."
"We demand that the Unocal board of directors adhere to its fiduciary duty to seek to obtain a higher offer for Unocal shareholders," Schoenfeld said in a statement. A Unocal spokesman would not comment on the letter.
Unocal's board backed a sweetened $63 per share offer from Chevron, the second-largest U.S. oil company, on July 20, despite an earlier CNOOC bid at $67 per share.
Schoenfeld said last week that Unocal would likely require an even higher bid by CNOOC to switch allegiance and estimated the company could be worth $74 per share based on recent transactions.
Analysts have pegged Chevron as the favorite to win Unocal, partly due to concern U.S. lawmakers would reject a CNOOC deal on national security grounds or that a deal with the Chinese suitor would be delayed by a long review process. Shareholders are scheduled to vote on the deal on Aug. 10.
