Boeing Ousts Stonecipher As President and CEO

Boeing Co. President and Chief Executive Officer Harry Stonecipher, who came out of retirement in 2003 to restore the company's reputation amid an ethics scandal, was forced to resign by Boeing's board late Sunday after an internal investigation confirmed that Mr. Stonecipher was having a personal relationship with a female executive at the company.

Company officials said that the resignation was immediate, and included Mr. Stonecipher's departure from Boeing's board of directors. Boeing Chief Financial Officer James Bell was named president and chief executive on an interim basis. Lew Platt, who has been non-executive chairman of the Boeing board for a little more than a year, will take on expanded duties, the company said.

A Boeing spokesman declined to name the female executive or describe her role at the company, but he said that the executive didn't report directly to the 68-year-old Mr. Stonecipher. He said the relationship came to light about 10 days ago after Mr. Platt and two other top executives, including the head of the company's ethics program, received a tip.

"The Board concluded that the facts reflected poorly on Harry's judgment and would impair his ability to lead the company," Mr. Platt said in a statement. "The resignation was in no way related to the company's operational performance or financial condition, both of which remain strong. However, the CEO must set the standard for unimpeachable professional and personal behavior, and the Board determined that this was the right and necessary decision under the circumstances," he said.

Calm Reaction

Investors reacted calmly to the news. Boeing shares slid 78 cents, or 1.3%, to $57.60 in midday trading on the New York Stock Exchange.

While the ouster may push shares lower in the short-term, SG Cowen analyst Cai von Rumohr said it doesn't indicate corporate-governance problems at the aerospace giant. The company had to disclose the reason for his resignation to avoid looking like it is hiding something, Mr. von Rumohr said in an interview on CNBC.

"In Boeing's circumstances, there was no way they could overlook it, so I think he probably had to do what he did," he said. "The company is really trying to get beyond this image of kind of hiding the bad dirt."

Regardless, the resignation is a jolt to a company that had been trying to put two years of scandal behind it.

"Boeing's primary customers, the airlines and the Pentagon, are still going to keep on buying Boeing's airliners and weapon systems based on performance and price, not on palace intrigues," said Robert Friedman, senior aerospace defense analyst for Standard & Poor's.

Code of Conduct

On a conference call Monday morning, Boeing again declined to name the woman executive, but said she is still employed by the company and that the affair had no bearing on her career.

On the call, Mr. Platt said the relationship came to light after someone saw correspondence between the two and informed the company. Mr. Platt emphasized that the relationship alone was not the reason the company sought to dismiss Mr. Stonecipher, who is married. "It's not the fact he was having an affair -- that is not a violation of our code of conduct," the chairman said. As the company explored the circumstances surrounding the relationship, however, it discovered "some issues of poor judgment" that impaired Mr. Stonecipher's ability to lead the company, he said.

According to the code, employees aren't permitted to behave in a way that could cause embarrassment to the company, and the board determined that Mr. Stonecipher's actions, if they became public, could cause embarrassment to Boeing, Mr. Platt said.

Mr. Platt added that Mr. Stonecipher "was very honest and open throughout the investigation."

Abrupt Departure

Mr. Stonecipher's abrupt departure comes after more than two years of tumult over legal and ethical breaches at the company that prompted the resignation of former Chairman and Chief Executive Phil Condit in December 2003. Mr. Stonecipher, a stickler for financial discipline who had retired in 2002 from his roles as company vice chairman and president was asked by the board to return to come back to help restore the company's reputation.

Since his return, Mr. Stonecipher has been an ardent advocate of ethics, leading a push that resulted in a policy under which all of the company's employees, regardless of position, are required to sign a code of conduct each year. (See the code of conduct.) Mr. Stonecipher used his position as the company's elder statesman to assure government officials and others that he was serious about restoring the company's reputation even as more embarrassing allegations and details of the misdeeds by others continued to surface.

In one case, former chief financial officer Michael Sears and former Air Force acquisitions official Darleen Druyun ultimately received prison sentences after admitting to conducting illegal employment discussions while Ms. Druyun was still overseeing billions of dollars worth of Boeing military contracts. The fate of some of those contracts continues to be an issue.

In the other, the company lost more than $1 billion in Air Force rocket launches and was suspended from bidding on new business after it was discovered that several low-level employees had obtained a competitor's proprietary documents. That suspension was lifted on Friday.
