Our Client
Our client is one of the worlds leading energy companies with significant operations in China. A Fortune 500 US based firm, the group has operational units in traditional power generation, hydro-electric power and wind energy. Due to internal promotion, the group needs to hire a new senior legal Counsel.
Job Description
Reporting to the Asia Pacific General Counsel, you will develop legal strategies and provide legal support for operations, asset management, business development and growth in China. In addition you will oversee the corporate secretarial functions and implementation of group compliance programs in China.
Ensure that the Company operates in accordance with (a) all regulatory and legal requirements, (b) corporate agreements and (c) business practices and policies
Develop long-term and mid-term legal strategies, making recommendations and implementing accordingly;
Designing and counseling on deal structures, overseeing legal and compliance due diligence; reviewing and finalizing various agreements; developing contracts templates and streamlining contract review process;
Overseeing the implementation of group compliance program in China and supervising compliance trainings; including SEC Filing
Execution of 'high risk' contracts relating to merger and acquisition, joint ventures, assets deposal, etc.;
Initiation or settlement of legal proceedings.
Successful Applicant
Graduate from a top law school in China and a top law school in US with a JD or LLM degree. Qualified to practice in PRC and one of the states in US.
Minimum 8 years post qualification experience at leading local and international law firms or in-house experience at multinational companies.
Possess in-depth knowledge of company laws, energy laws and other commercial laws.
Expertise in delivering professional legal solutions that aligned with multiple international legal frameworks and environments;
Excellent judgment and innovative enabling the provision of sound advice in difficult and complicated areas of legal and compliance;
An inquisitive approach to practices, procedures, business development and specific transactions;
Personal authority, integrity and ethics; fluent in English
